Terms of Service

In force from 1 November 2026 · Naatchaal (OPC) Private Limited

The short version

  • Your company owns everything it puts into NaatOps. We only use it to run the service for you.
  • The 30-day trial and the Free plan need no card. Paid plans are billed in advance in INR, plus 18% GST, and never renew without you paying the renewal invoice.
  • Don't use NaatOps for anything illegal, harmful or that you don't have the rights to. We can remove such content and suspend accounts that break these rules.
  • AI features can be wrong. Check AI drafts before you send them to anyone.
  • NaatOps is provided as it is. Our total liability is capped at what you paid us in the 3 months before a claim (₹1,000 on the Free plan), and you are responsible for your data, your users and how you rely on the Service.

This summary helps you read the page. The full text below is what applies.

1. Who we are and what this covers

NaatOps is a software service provided by Naatchaal (OPC) Private Limited, a company registered in India with its registered office at 51/5, S.U.K Business Centre, Attrankarai Street, Darasuram, Kumbakonam, Thanjavur, Tamil Nadu 612702, India (GSTIN 33AAKCN7664G1Z6, CIN U58200TN2025OPC183559). In these terms, "we", "us" and "our" mean Naatchaal (OPC) Private Limited.

These Terms of Service ("Terms") are a contract between us and the company, firm or other organisation that creates a NaatOps workspace or buys a plan (the "Customer", "you"). They cover the NaatOps website at https://naatops.com, the web app, the installable app, the API and the MCP endpoint (together, the "Service").

If you sign up on behalf of an organisation, you confirm that you are allowed to accept these Terms for it. If you are not, don't create the workspace.

These Terms include the Privacy Policy, the Refund and Cancellation Policy, the Data Processing Addendum and the Acceptable Use rules below. If a signed order form or agreement with us says something different, that signed document wins for the points it covers.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They need no physical or digital signature: you accept them by creating a workspace, accepting an invitation or paying for a plan.

2. Accounts and workspaces

  • NaatOps is for business use only. By accepting these Terms you confirm that you are using it for the purposes of a business or profession and not as a consumer. Every user must be at least 18 years old.
  • Each person uses their own account. Keep your password and two-step codes to yourself, and tell us straight away if you think someone else has used your account.
  • The people who create a workspace become its owners. Owners and admins decide who joins, which role each person has, and who can see each project. You are responsible for what everyone you invite does in your workspace, including your own clients if you give them access.
  • Give us accurate details, especially your billing name, address and GSTIN, because they go on your tax invoices.

3. Trial, plans and fees

New workspaces get a 30-day trial of the Delivery plan with no card needed. When the trial ends, the workspace moves to the Free plan unless an owner picks a paid plan. Nothing is deleted when a trial ends.

The Free plan, and the limits and prices of each paid plan, are shown on the pricing page and in Settings › Billing. We may change the Free plan or a plan's price with at least 30 days' notice by email. A price change never applies to a period you have already paid for.

All prices are in Indian rupees and exclude GST. We add GST at the rate in force (currently 18%) and issue a GST tax invoice for every payment. If you give us your GSTIN before you pay, it is printed on the invoice so you can claim input tax credit.

If you deduct tax at source (TDS) from a payment, send us the TDS certificate within the time the Income-tax Act allows. Until we receive it, the deducted amount counts as unpaid.

Paid plans are paid in advance, monthly or yearly. Adding users or moving to a higher plan mid-period is charged for the days left in the period. Moving to a cheaper plan or fewer users takes effect at the next renewal.

AI credit top-up packs are valid for 365 days from purchase.

Founding partner, pilot or other special offers follow the terms written in that offer. Where an offer is silent, these Terms apply.

4. Payment and renewal

You can pay by card, UPI or net banking through our payment partner, Cashfree Payments, or by bank transfer for yearly plans. We never see or store your full card number.

NaatOps does not charge your card automatically. Seven days before a paid period ends, we email a renewal invoice. If it is not paid by the end of the period, the workspace keeps its plan for a 7-day grace period and then moves to the Free plan. Nothing is deleted: anything beyond the Free plan's limits stays readable, and paying again restores it.

Bank transfer invoices are due within 15 days.

Refunds and cancellations follow the Refund and Cancellation Policy.

5. Your data

Everything your workspace puts into NaatOps, such as stories, test cases, test results, API requests, documents, comments and files, is "Customer Data". You own your Customer Data. We do not sell it, and we do not use it to train AI models.

You give us permission to host, copy, process, transmit and display Customer Data only as needed to run the Service for you, keep it secure, back it up, fix problems and meet our legal duties. That permission ends when the data is deleted.

For personal data inside Customer Data, you are the data fiduciary and we are your data processor under the Digital Personal Data Protection Act, 2023. The Data Processing Addendum sets out how we handle it and forms part of these Terms.

You are responsible for having the right to put Customer Data into NaatOps, including your own clients' information, and for any notices or consents that law or your client contracts require.

Owners and admins can export the whole workspace at any time from Settings › Workspace, as CSV and JSON. You can export before you cancel, and after a paid plan ends, because the workspace stays on the Free plan.

An owner can delete the workspace in Settings › Workspace. Deletion is final: the data is removed from the live service at once and from our backups within 35 days. Paid GST invoices are kept, as the law requires.

6. Acceptable use

You and everyone in your workspace must not use NaatOps to host, display, upload, change, publish, send, store, update or share any information that:

  • belongs to someone else and you have no right to;
  • is obscene, pornographic, paedophilic, invasive of another person's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, or that encourages money laundering or gambling;
  • is harmful to children;
  • infringes any patent, trademark, copyright or other proprietary right;
  • knowingly or deliberately communicates misinformation or information that is patently false or misleading, or impersonates another person;
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order, incites any offence, prevents the investigation of any offence, or insults another nation;
  • contains software viruses or any other code designed to interrupt, destroy or limit the working of any computer resource; or
  • breaks any law in force in India.

You must also not:

  • probe, scan or test the security of NaatOps without our written permission (tell us about any weakness at the address on the Security page instead);
  • use the built-in API client, webhooks or monitors to attack, overload or send requests to systems you are not authorised to test;
  • get around plan limits, rate limits, roles or project access;
  • resell the Service, or use it to build a competing product; or
  • send spam through invitations, notifications or chat integrations.

7. How we handle unlawful content

NaatOps hosts information that our customers put into it, so for that information we act as an intermediary under section 79 of the Information Technology Act, 2000. We do not choose, check or change what customers store, but we will act on it when the law requires.

If we receive a court order or a lawful order from a government agency, or we become aware that content breaks section 6 above, we may remove or disable access to it and keep the records the law requires. Where we can, we tell the workspace owners first and give them a chance to respond.

If someone repeatedly or seriously breaks these rules, we may suspend or close their account or the workspace.

Anyone can report content or raise a complaint with our Grievance Officer, Manoranjith, at [email protected]. We acknowledge complaints within 24 hours and resolve them within 15 days. Complaints about content that shows a person's private area, nudity or a sexual act, or that impersonates them, are acted on within 24 hours. See Contact and grievances.

8. AI features

NaatOps can draft sprint summaries, client updates, test cases and answers about your projects using large language models. To do that, the relevant project details are sent to an AI provider:

  • on paid plans, Claude by Anthropic (United States);
  • on the Free plan and during the trial, DeepSeek (China).

Owners can turn every AI feature off for the workspace in Settings › Billing › AI, and choose who may use them. When AI is off, nothing is sent to any AI provider.

AI output is generated automatically and can be incomplete, out of date or wrong. It is not professional, legal, financial or engineering advice. You are solely responsible for reviewing any AI output before you rely on it, act on it or send it to anyone, and we are not liable for any decision made or message sent on the basis of AI output.

AI credits are a usage allowance, not money. Unused monthly credits do not roll over and cannot be exchanged for cash.

9. Release reports and client sign-off

Your team can share a release report with a client by link or through the client portal, and the client can accept the release or ask for changes.

A sign-off records the person's name and email, their decision and comment, the time, their IP address, and a snapshot of what the release held at that moment. It is a reliable electronic record of what your client told you, and it is yours to keep and export.

A sign-off is not an electronic or digital signature under section 3 or 3A of the Information Technology Act, 2000, and NaatOps does not verify the signer's identity beyond the link or account they used. Whether it is enough to accept work under your contract with your client is between you and your client. If you need a signature, use your usual signing process alongside it.

Anyone with a share link can open the report until you revoke the link or it expires. Share links only with the people who should see the report.

Release reports, test results, API check results and sign-offs show what your team and your tools recorded. We do not check that they are complete or correct, and we are not a party to your contract with your client. Any dispute between you and your client about scope, quality, acceptance or payment is between you and your client, and we have no liability for it.

10. Integrations and third-party services

You can connect NaatOps to other services, such as Slack, GitHub, GitLab, Jira or your own webhooks. When you do, you tell us to send data to or receive data from that service, and that service's own terms apply to it. We are not responsible for services we do not run, including their availability, security or what they do with data you send them.

The built-in API client, monitors and webhooks send requests that you configure, to systems you choose. You are responsible for those requests and for having permission to send them, and we are not liable for their effects on any system.

11. Availability, support and changes

We use commercially reasonable efforts to keep NaatOps available, but we do not promise any particular uptime, and no service level or service credits apply unless a signed agreement with us says so. The Service may be interrupted, for example for maintenance (which we try to schedule outside Indian business hours), by failures of our providers, or by attacks.

We back up the database regularly, but backups can fail and are not a guarantee against data loss. Export your data regularly and keep your own copy of anything you cannot afford to lose. If data is lost, our only obligation is to make reasonable efforts to restore it from our most recent available backup.

Support is by email at [email protected], Monday to Friday, 10:00 to 18:00 IST, except public holidays.

We improve NaatOps all the time. We may change or remove a feature, but we will not remove a core feature of a paid plan during a period you have paid for without offering a fair refund for the rest of that period.

Features marked beta or preview are offered as they are and may change or stop.

12. Cancelling, suspension and ending

You can cancel a paid plan at any time in Settings › Billing. It runs until the end of the period you paid for and then moves to the Free plan. You can delete your workspace or your own account at any time.

We may suspend access, after notice where we reasonably can, if an invoice is unpaid after the grace period, if you seriously break these Terms, or if we must to protect the Service, other customers or the law. We lift a suspension as soon as the reason is fixed.

We may end these Terms for a workspace that seriously breaks them and does not fix the problem within 15 days of our notice, or straight away where the law requires it. If we stop offering NaatOps altogether, we will give at least 60 days' notice, a refund for any unused paid period, and time to export your data.

Sections 5, 13, 14, 15 and 17 continue after these Terms end.

13. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for this agreement, and share it only with staff and service providers who need it and are bound to keep it confidential. This does not cover information that is already public, that the receiver already had or develops independently, or that the law or a court requires to be disclosed.

14. Warranties and liability

To the fullest extent the law allows, the Service, including AI features, release reports, sign-offs, integrations and the API client, is provided "as is" and "as available". We make no warranty or representation, express or implied, that it will be uninterrupted, error-free, secure or free of harmful code, that data will never be lost, that any result or output will be accurate or complete, or that it is fit for a particular purpose or meets any legal or contractual requirement of yours or your clients. We do keep the security measures described on the Security page and in the Data Processing Addendum.

You are responsible for your Customer Data, for the people you give access to, for how you and they use the Service, and for any decision you make or deliverable you give your clients using it.

We are not liable, under any legal theory, for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profit, revenue, business, contracts, goodwill, anticipated savings or data, or the cost of replacement services, even if we were told such loss was possible.

Our total liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and for all claims together, is limited to the fees you actually paid us for the Service in the 3 months before the event that gave rise to the first claim, or ₹1,000 if you were on the Free plan or a trial. You agree that this is a genuine pre-estimate of loss and reflects the price of the Service.

Where these Terms give you a refund or the right to cancel, that is your sole and exclusive remedy for the problem it covers.

Nothing in these Terms limits liability for fraud, or any liability that cannot be limited or excluded under Indian law. These limits do not apply to your obligations to pay fees or under section 15.

15. Your indemnity

You will defend, indemnify and hold harmless us and our directors, employees and agents from any claim, demand, proceeding, penalty or fine brought by a third party or authority, and from the losses, damages, settlements and reasonable legal costs that result, to the extent it arises from:

  • Customer Data, including personal data you put into NaatOps without a lawful basis or the notices and consents the law requires;
  • your or your users' use of the Service, including requests sent with the API client, monitors or webhooks;
  • your or your users' breach of these Terms, including section 6, or of any law;
  • any dispute between you and your clients, staff or contractors, including about release reports, sign-offs, deliverables or AI output you shared with them; or
  • services you connect to NaatOps.

We will tell you about the claim promptly, let you control its defence with counsel reasonably acceptable to us, and give reasonable help at your cost. You will not settle a claim in a way that admits fault on our behalf or binds us without our written consent.

16. Changes to these Terms

We may update these Terms. If a change materially affects your rights, we will email workspace owners and show a notice in the app at least 30 days before it takes effect. Using the Service after that date means you accept the new Terms. If you do not, you can cancel, and for a yearly plan we will refund the unused full months.

At least once a year we will remind users of these Terms, the Privacy Policy and the acceptable use rules.

17. Governing law and disputes

These Terms are governed by the laws of India.

If a dispute arises, we will first try to settle it by talking in good faith for 30 days. If that fails, the dispute will be decided by a sole arbitrator appointed by both of us under the Arbitration and Conciliation Act, 1996. The seat of arbitration is Chennai, and the proceedings will be in English.

Subject to arbitration, the courts at Chennai, Tamil Nadu have exclusive jurisdiction. Either of us may ask any court for urgent interim relief.

18. General

  • Notices to us go to [email protected]. Notices to you go to the workspace owners' email addresses.
  • We are not responsible for any failure or delay caused by events outside our reasonable control, such as natural disasters, epidemics, war, riots, government action, cyberattacks, or failures of the internet, power, data centres or our service providers.
  • You may not transfer these Terms without our consent, except to a company that takes over your business. We may transfer them to a company that takes over NaatOps, and will tell you if we do.
  • If a court finds part of these Terms unenforceable, the rest still applies. Not enforcing a term straight away does not waive it.
  • These Terms, with the documents they include, are the whole agreement between us about the Service.
